Understand Herbalife’s Policies

A Herbalife distributor (also known as a Member) is an independent contractor who sells Herbalife products to consumers and provides product guidance and social support. Distributors receive income from the multilevel compensation plan, based on sales volume, production bonus, and other qualifying incentives such as Royalty overrides, product purchases and retail profits. In addition, Members may incur expenses for the operation of their business, such as advertising or promotional costs, rent, travel, telephone and Internet costs, and other miscellaneous expenses.

The Herbalife Distributor Agreement stipulates that members must abide by the company’s rules, regulations and advisories, including the Sales & Marketing Plan Rule and the Consumer Code of Conduct. In addition, a Distributor must pay any applicable taxes to Herbalife on his or her sales. The company reserves the right to terminate a Distributor for violations of any of its policies.

Herbalife requires that Distributors follow lobbying laws and comply with compliance requirements when they work with public officials for the company. For example, Herbalife distributors cannot offer government officials gifts or hospitality in excess of the limits set forth by law. Similarly, Herbalife distributors must follow state ethics and gift and hospitality rules when recruiting current or former government employees or their family members for their businesses.

Additionally, Herbalife distributors must not modify or tamper with product labels, literature and materials. They must also not repackage Herbalife products and they cannot use the audio and video, trademarks, logos or other proprietary materials of other companies or individuals without permission.

If a Distributor wishes to appeal a termination decision, he or she must request an appeal within 15 days of the decision. During this period, the Distributor can submit any new evidence that was not available to Herbalife during the inquiry process. An appeal committee, consisting of appointed representatives from the Sales Department, the Distributor Services Department and the Legal Department, will review the evidence submitted by the Distributor.

During the time that a Distributor, his or her spouse, or their Life Partner is involved in divorce proceedings or the dissolution of a life partnership relationship the Distributor will need to establish a separate Herbalife distributorship. This separate Distributorship must be associated with the original sponsor through an association.

Obtain a Change of Sponsorship Form

If a distributor wishes to change sponsors, they must obtain a Change of Sponsorship form from the new sponsor. This form must be signed by the current sponsor and by the proposed new sponsor accepting responsibility for the business activity of that Distributorship. The Distributorship must also comply with Herbalife’s Period of Inactivity Rule and the Sales & Marketing Plan production requirements.

Herbalife requires that the distributorship be at least 18 years old to participate. The minimum age varies from country to country.

A Distributor who wishes to establish a new Distributorship must submit a notarized Change of Sponsorship Request Form and the completed Change of Sponsorship Consent Form to Herbalife. The Distributorship also needs to provide proof of age and a statement stating that they are legally able to conduct business. They must also submit notarized copies for any other documents required.

Once Herbalife receives the completed Change of Sponsorship Form, it will process the change and notify both the current and new sponsors. If the current sponsor earns Royalty Override and Production Bonuses from the current Distributorship these will remain with that Distributorship. If the new Distributorship has the same status and earnings as the current Distributorship under the Sales & Marketing Plan then these can be transferred to the Distributorship.

In order to keep these benefits, the transferring Distributorship must earn Royalty Override and Production bonuses on behalf of the new Sponsor. In this case, the transferring Distributorship must meet the required Documented Volume and Royalty Point amounts in order to qualify for these bonuses.
